By accessing or using RocsciNow's music encoding and distribution platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use our Service.
RocsciNow provides an AI-powered music encoding platform that enables users to create, encode, and distribute music content to various streaming platforms including, but not limited to, Apple Music, Spotify, Amazon Music, Tidal, and Deezer.
You must create an account to use certain features of our Service. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

With respect to any audio assets generated through our AI-powered Service:
This means that while you own the sound recording and may distribute, license, and monetize the recording itself, RocsciNow owns the underlying musical composition. You may not claim authorship of the musical composition or register it with performing rights organizations (PROs) without RocsciNow's express written consent.
For content you upload (excluding AI-generated audio), you retain all ownership rights. By uploading content, you grant RocsciNow a worldwide, non-exclusive, royalty-free license to use, reproduce, distribute, and display your content solely for the purpose of providing and promoting our Service.

RocsciNow will use commercially reasonable efforts to distribute your content to the streaming platforms you select. However, we do not guarantee acceptance by any third-party platform, and we are not responsible for any platform's decision to reject, remove, or delist your content.
Certain features of the Service may require payment. You agree to pay all applicable fees as described at the time of purchase. All fees are non-refundable unless otherwise stated or required by law.
For Users with Artist Role
The following terms apply specifically to users granted "Artist" access for distribution services.
If you are using RocsciNow as an Artist to distribute your original works, you acknowledge that RocsciNow will not use or distribute your content (including songs, soundtracks, albums, compilations, artwork, samples, ebooks, music videos, concert films, ringtones, or any other protectable intellectual property) without your permission. By using the distribution service, you grant RocsciNow a non-exclusive license to distribute, publicize, advertise, and display copies of your works, songs, soundtracks, albums, photos, likenesses, promotional materials, and compilations that you have uploaded or transferred to RocsciNow. RocsciNow will distribute your content to the best of its ability in the media formats it deems appropriate (including full tracks, ringtones, mobile phone services, videos, etc.) for the purpose of this agreement.
As an Artist, you must maintain a merchant account and banking account (such as checking, savings, or credit account) with a certified financial institution. RocsciNow recommends using PayPal for online transfers to ensure safety and security. If you prefer not to use PayPal, royalties can be deposited directly to your banking account via ACH or wire transfer.
Artists are entitled to earn 95% of the total revenue generated from all digital assets delivered to Digital Service Providers ("DSPs") within the RocsciNow network. Payments will be made within 60 days following the last day of each month, accompanied by sales statistics and updates for your digital assets. Your payment will be deposited into your designated bank account via PayPal or ACH/Wire Transfer.
RocsciNow respects the intellectual property rights of others, and we expect you to do the same. RocsciNow has no responsibility for content on third-party websites that you may access when using our Service. Material on external websites may be protected by copyright and intellectual property laws, and the terms of use of those websites govern your use of that material.
RocsciNow reserves the right to disable and/or terminate accounts of users who infringe or repeatedly infringe the copyrights or other intellectual property rights of RocsciNow or others. RocsciNow also reserves the right to withhold royalties from Artists who repeatedly infringe intellectual property rights. If you believe your work has been copied in a way that constitutes copyright infringement, please contact our Business & Legal Affairs at info@globalmediabank.com with the subject line "Copyright Infringement."
If a Digital Rights Dispute (DRD) is filed regarding your material, you are obligated to provide Proof of Authorization for the disputed material within 3 business days. Failure to provide adequate Proof of Authorization will result in the immediate removal of the material from all active music distribution services. RocsciNow reserves the right to disable and/or terminate materials without immediate notice in appropriate circumstances.
Artists reserve the right to terminate their distribution agreement at any time for a termination fee of $100.00. Upon receipt of the termination fee, RocsciNow is obligated to remove all content belonging to the Artist from all DSPs, PROs (Performing Rights Organizations), and MLOs (Mechanical Licensing Organizations), and to issue all pending royalties owed.
RocsciNow reserves the right to terminate the Artist distribution agreement without notice if a breach of the agreement is pending or confirmed.
We reserve the right to suspend or terminate your account at any time, with or without notice, for any reason, including if we believe you have violated these Terms. You may terminate your account at any time by contacting us.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. ROCSCINOW DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ROCSCINOW SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.
You agree to indemnify, defend, and hold harmless RocsciNow and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising from your use of the Service or violation of these Terms.
These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions.
Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the state and federal courts located in New York, NY.
We reserve the right to modify these Terms at any time. We will notify you of any changes by posting the new Terms on this page and updating the "Last Updated" date. Your continued use of the Service after changes constitutes acceptance of the modified Terms.
